Welcome to Meno! These Terms and Conditions (“Terms”) govern your access to and use of the Meno website (getmeno.io), applications, dashboard, and services (collectively, the “Services”). Meno is a product owned and operated by EBSAR ADV. & PUB. LLC (“Meno,” “we,” “us,” or “our”). By accessing or using Meno, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Definitions

• “Meno,” “we,” “us,” “our” refers to the company that owns and operates the Meno service.
• “User,” “you,” “your” refers to the individual or entity using our Services.
• “Services” refers to the Meno website, digital menu tools, ordering features, dashboard, and related features provided by us.
• “Account” refers to the user account created to access our Services.
• “Merchant” refers to a business that uses Meno to publish a digital menu and receive orders.
• “End Customer” refers to a person who views a Merchant’s Meno menu or places an order through it.

Account Registration and Use

1. 1. Eligibility: You must be at least 18 years old to use our Services. By creating an account, you represent that you meet this age requirement.
2. 2. Account Creation: To use Meno, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3. 3. Account Responsibility: You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or use of your account.
4. 4. Account Suspension: We reserve the right to suspend or terminate your account if you violate these Terms or engage in any fraudulent, abusive, or harmful behavior.

Use of Services

1. 1. License: Meno grants you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.
2. 2. Prohibited Uses: You agree not to:
   • Use our Services for illegal or unauthorized purposes.
   • Interfere with or disrupt the security, integrity, or performance of our Services.
   • Attempt to gain unauthorized access to any part of our Services.
   • Upload, post, or share any content that is defamatory, obscene, pornographic, abusive, invasive of privacy, fraudulent, or otherwise objectionable, including content related to sexual material, pornography, politics, or other sensitive topics.
   • Use Meno to advertise, sell, or facilitate the sale of goods you are not legally permitted to sell.
3. 3. Content Ownership: You retain ownership of all content you create or upload using our Services, including menu items, descriptions, images, and pricing. By using Meno, you grant us a non-exclusive, royalty-free license to use, host, display, and distribute your content solely for the purpose of providing our Services.
4. 4. Compliance: You agree to comply with all applicable laws and regulations when using our Services, including food-safety, labeling, consumer-protection, and tax regulations applicable to your business.

Orders and WhatsApp Communications

1. 1. Role of Meno: Meno enables End Customers to browse a Merchant’s menu and submit orders, which may be delivered to the Merchant through channels including WhatsApp. Meno provides the menu and ordering technology only. The Merchant is solely responsible for accepting, pricing, preparing, fulfilling, and delivering orders, and for all communications with End Customers.
2. 2. No Party to Transactions: Meno is not a party to any transaction between a Merchant and an End Customer and is not responsible for the quality, safety, legality, availability, or delivery of any goods ordered.
3. 3. Third-Party Messaging: Your use of WhatsApp and any other messaging channel is also subject to that provider’s own terms and policies.

Reporting Inappropriate Content

1. 1. Report Mechanism: If you encounter content that you believe violates our Terms, please report it immediately to our support team. We will review the reported content and take appropriate action, which may include removing the content or suspending the account responsible.
2. 2. Right to Remove: Meno reserves the right to remove any content that violates these Terms or is deemed inappropriate, at our sole discretion. We also reserve the right to suspend or terminate accounts that repeatedly violate our policies.

Payment and Billing

1. 1. Subscription Plans: Meno offers various subscription plans. You agree to pay all fees associated with your chosen plan as described on our website.
2. 2. Billing Information: You must provide accurate billing information and update it promptly in case of changes.
3. 3. Payment Authorization: By subscribing to a plan, you authorize Meno to charge the applicable fees to your provided payment method.
4. 4. Refunds: All fees are non-refundable unless otherwise stated in our Refund Policy.
5. 5. Tax Compliance and Accurate Location Declaration: You agree to provide truthful and accurate billing information, including the billing country, for tax assessment purposes. VAT will be applied in accordance with UAE Federal Tax Authority regulations for customers located or operating within the United Arab Emirates. Providing false, misleading, or inaccurate billing country information to avoid VAT is considered tax evasion. Meno reserves the right to request proof of location, suspend or terminate subscriptions, adjust invoices, or apply additional tax charges if discrepancies are detected between billing address, payment method country, IP/geolocation data, or other tax indicators.

Intellectual Property

1. 1. Meno Ownership: Meno owns all rights, titles, and interests in and to our Services, including but not limited to software, trademarks, and content (excluding content you own).
2. 2. User Content: You retain ownership of your content. You represent and warrant that you have the necessary rights to upload and share your content via Meno.
3. 3. Feedback: We welcome feedback and suggestions to improve our Services. By submitting feedback, you grant us the right to use and incorporate it without any obligation or compensation.

Data Protection and Privacy

1. 1. Privacy Policy: Our Privacy Policy explains how we collect, use, and protect your information. By using Meno, you agree to the terms of our Privacy Policy.
2. 2. Data Security: We implement reasonable security measures to protect your information. However, you acknowledge that no method of transmission or storage is completely secure.
3. 3. Data Processing: By using our Services, you consent to the processing of your data as described in our Privacy Policy.

Third-Party Services

1. 1. Integrations: Meno may integrate with third-party services, such as WhatsApp and payment processors, to enhance functionality. We are not responsible for the actions or content of these third-party services.
2. 2. Third-Party Terms: Your use of third-party services is subject to their respective terms and conditions. We encourage you to review these terms before using third-party integrations.

Limitation of Liability

1. 1. No Warranty: Meno provides services “as is” and “as available” without any warranties, express or implied.
2. 2. Limitation of Liability: To the fullest extent permitted by law, Meno shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
3. 3. Maximum Liability: Our total liability to you for any claim related to our Services is limited to the amount you paid us for the service in question.

Indemnification

You agree to indemnify and hold Meno harmless from any claims, losses, liabilities, damages, expenses, or costs (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

Termination

1. 1. Termination by You: You may terminate your account at any time by following the instructions in your account settings.
2. 2. Termination by Meno: We reserve the right to terminate or suspend your account if you breach these Terms or engage in any fraudulent or harmful activity.
3. 3. Effect of Termination: Upon termination, your right to use our Services will cease, and any data associated with your account may be deleted.

Governing Law and Dispute Resolution

1. 1. Governing Law: These Terms are governed by the laws of the United Arab Emirates, where Meno is headquartered, without regard to its conflict of law principles.
2. 2. Dispute Resolution: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
3. 3. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in the United Arab Emirates for resolving any disputes related to these Terms.

Changes to These Terms

Meno reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on this page with an updated effective date. Your continued use of our Services constitutes acceptance of the revised terms.
